Terms of Use

These terms govern use of ZMD Tech's website service, the client edit portal, and the public sandbox demo (the “Service”). By using the Service you agree to these terms. If you don't agree, please don't use the Service. ZMD Tech is operated by Zach Duclos in Athens, Georgia, USA. You can reach us at [email protected].

1.Who can use the Service

You must be at least 18 years old, or of legal age to enter a contract in your jurisdiction, to use the paid Service. The public sandbox demo at /try is open without an account but is rate-limited and capped per session.

You're responsible for keeping your login credentials secure and for activity that happens under your account. Tell us right away if you suspect unauthorized access.

2.What the Service includes

On the Basic plan, the Service includes a custom-built website (up to 10 pages), hosting with SSL, plain-English edits with preview and approval, an analytics dashboard, contact / lead forms, and search-engine basics. Custom plans include everything in Basic plus whatever else is scoped in your quote.

We provide the Service on a managed, best-effort basis. Specific uptime, response-time, or performance guarantees aren't included at the listed prices and can be agreed separately on a Custom plan if you need them.

3.Acceptable use

You agree not to use the Service to:

  • Publish content that's unlawful, infringes someone else's rights, harasses or threatens people, promotes violence, or sexualizes minors.
  • Upload or link to malware, phishing pages, or anything that targets other systems or users.
  • Use the edit prompt, sandbox, or forms in an automated, scripted, or load-testing way without prior written permission. The flow is built for a real person editing a real business site.
  • Attempt to bypass rate limits, plan limits, billing, file-size caps, or other technical or contractual restrictions.
  • Send spam, unsolicited bulk messages, or third-party marketing through forms hosted by the Service.
  • Reverse-engineer, scrape, or republish portal interfaces, prompts, or non-public assets, except as plainly permitted by these terms.
  • Resell or sublicense the Service without our written permission.

Edit-prompt activity that looks more like an automated test harness than a small business will be throttled or paused, and we may contact you about usage.

4.Your content

You keep ownership of the text, images, logos, and other content you provide (“Your Content”). By using the Service you grant us a non-exclusive license to host, display, modify (for example, resize images), and otherwise process Your Content as needed to operate the Service for you.

You confirm that you have the rights to everything you upload — including photos, copy, fonts, logos, and trademarks. You'll defend and indemnify ZMD Tech against claims that arise from Your Content or how you use the Service.

Individual file uploads are capped at 25MB. We may refuse or remove content that violates these terms or that creates risk to the Service or other users.

5.Our platform

The portal, edit pipeline, sandbox, and supporting infrastructure (the “Platform”) belong to ZMD Tech. Nothing in these terms transfers ownership of the Platform to you. We may use anonymized, aggregated information about how the Platform is used to improve it.

6.Fees, billing, and changes

Build fees are billed once and are non-refundable after work has begun. Subscription fees are billed monthly or annually in advance and aren't prorated on cancellation. Domain registration, when handled by us, is a pass-through cost at our actual provider rate.

We may change subscription pricing with at least 30 days' notice. If you don't want to continue at the new price, you can cancel before it takes effect.

Late or failed payments may result in suspension of the site or edit access until payment is resolved.

7.Cancellation

There's no contract — you can cancel any time by emailing us. When you cancel, the recurring charge stops at the end of the current billing period and the live site is taken offline shortly after. We'll provide a static export of the final published version of your site on request.

We may retain backups and audit records for a reasonable period to meet our operational and legal obligations, after which they're deleted.

8.Suspension and termination by us

We may suspend or terminate access — with or without notice — if you breach these terms, if your usage threatens the Service or other users, or if we're required to by law. For material non-emergency breaches we'll usually try to flag the issue first and give you a chance to fix it.

If we terminate without cause, we'll refund the unused portion of any prepaid subscription fees.

9.Disclaimer

The Service is provided “as is” and “as available.” To the maximum extent allowed by law, we disclaim all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement.

We don't guarantee that AI-assisted edits will be free of errors. You're expected to use the preview-and-approve flow before changes go live, and you're responsible for what you publish.

10.Limitation of liability

To the maximum extent allowed by law, ZMD Tech won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim arose.

11.Indemnification

You agree to defend, indemnify, and hold ZMD Tech harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these terms.

12.Changes to these terms

We may update these terms from time to time. The “Effective” date at the top of this page reflects the most recent version. Material changes will be communicated by email or an in-portal notice before they take effect. Continued use of the Service after the effective date means you accept the updated terms.

13.Governing law

These terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Athens-Clarke County, Georgia, and you consent to their jurisdiction.
